ARTICLE 1 – Incorporation, Name, and Headquarters Pursuant to Legislative Decree No. 117 of July 3, 2017 (Third Sector Code) and the provisions of the Civil Code, a nonprofit scientific and cultural association is hereby established under the name: “CAIH – Center for Artificial Intelligence in Healthcare ETS,” hereinafter referred to as the “Association” or the “Center.” The Association has its registered office in the Municipality of La Spezia. The Board of Directors may establish or close secondary offices, branches, or laboratories both in Italy and abroad. ARTICLE 2 – Duration The duration of the Association is unlimited. ARTICLE 3 – Purpose and Activities of General Interest The Association pursues civic, solidarity-based, and socially beneficial purposes. Pursuant to Article 5 of Legislative Decree 117/2017, the Association carries out, exclusively or primarily, the following activities of general interest:  Letter h): scientific research of particular social interest;  Letter d): education, instruction, and vocational training, as well as cultural activities of social interest with educational purposes. By way of example, but not limited to, the Association aims to: 1. To conduct scientific studies on the efficacy and safety of artificial intelligence algorithms applied to clinical practice, diagnostics, and therapy. 2. Organize educational activities, training courses, master's programs, and seminars for medical, healthcare, technical, and engineering personnel. 3. To disseminate scientific knowledge regarding technological innovation in healthcare and the related ethical, legal, and data protection issues. 4. Collaborate with universities, IRCCS, hospitals, and public and private research institutions, both national and international. The association may carry out various activities that are secondary and instrumental to its activities of general interest, within the limits and in accordance with the criteria set forth in Article 6 of Legislative Decree 117/2017. ARTICLE 4 – Internal Organizational Structure (Departments) To best pursue its academic and operational goals, the Center is internally organized into 3 (three) main departments, coordinated by the Board of Directors:  Research Department: Dedicated to the production of scientific papers, trials, software experiments, and publications in internationally indexed journals. It serves as the institutional affiliation for researchers.  Training Department: Dedicated to the design and delivery of educational programs, continuing education courses for physicians and other professionals (including ECM), and technical seminars.  Department of Outreach and Information: Dedicated to outreach, managing social media and web communication channels, organizing conferences, and publishing activities. ARTICLE 5 – Official Scientific Affiliation The Association recognizes and regulates the use of its international name in scientific works produced by its members or within the scope of its projects. In publications, the official affiliation statement that must be included is:  [Author's Name], Center for Artificial Intelligence in Healthcare (CAIH), Italy. ARTICLE 6 – The Scientific Committee A Scientific Committee is established within the Center; it serves as an advisory and oversight body that ensures the high academic standards, ethical integrity, and scientific rigor of the Association’s activities. The Scientific Committee consists of a variable number of members (from a minimum of 3 to a maximum determined by the Board of Directors), selected from individuals with proven experience and authority in the fields of medicine, healthcare, artificial intelligence, biomedical engineering, and the legal and ethical aspects of new technologies. Members of the Scientific Committee are appointed by the Board of Directors, serve a term of 3 (three) years, and may be reappointed. Membership on the Scientific Committee is purely honorary and may also be held by individuals who are not members of the Association. The Scientific Committee elects a Chair from among its members to coordinate its work. The Scientific Committee is responsible for reviewing and preliminarily approving research topics and scientific papers prior to their submission to indexed journals, validating the educational programs of the courses offered, and ensuring that the use of Artificial Intelligence fully complies with medical ethics, patient safety, and applicable regulations (including the GDPR and the AI Act). ARTICLE 7 – Members (Admission and Rights) Any individual (physicians, engineers, researchers, students) or legal entity that shares the Association’s objectives may apply for membership. Admission is decided by the Board of Directors following a written application from the applicant. Legal entities participate in the Association’s activities and cast their vote at the General Assembly through their pro tempore legal representative or a formally designated delegate. All members have the same rights, participate in General Assemblies with voting rights (one vote per member), and are required to pay the annual membership fee established by the Board of Directors. Temporary participation in the Association’s activities is expressly excluded. ARTICLE 8 – Financial Resources and Non-Profit Status The Association derives its financial resources from annual membership dues, contributions, and research grants provided by public or private entities or international institutions, revenues from the delivery of training courses or activities related to the Association’s institutional purposes, as well as from donations or charitable contributions. The Association’s assets and financial resources must be used entirely for the fulfillment of its purposes. Pursuant to Article 8 of Legislative Decree 117/2017, it is strictly prohibited to distribute, even indirectly, profits or operating surpluses, funds, or reserves to founders, members, employees, collaborators, or members of the governing bodies.
